DAVID S. LEE
David S. Lee is the managing partner at Lee, Shome & Kennedy LLP. Mr. Lee provides general counsel services to a wide array of clientele, including, without limitation, private equity funds, venture capitalists, a global farm-to-retail food conglomerate, various manufacturing and distribution facilities, real estate investment firms, accounting firms, cyber-security firms, physician-owned medical corporations, non-profit organizations, and some of the most prestigious restaurants in the San Diego community.
Mr. Lee concentrates his legal practice in the areas of corporate formation and governance, mergers and acquisitions, private equity and related investment activities, securities compliance, partnership matters, intellectual property, commercial and industrial real property acquisitions, corporate immigration policies (including EB-5, E-2, EB-13, L-1, H1-B, and related applications), employment policies, private and public bids, manufacturing and distribution matters, non-profit governance, restaurant licensing, anti-kickback counseling, and medical device registrations.
Mr. Lee received his undergraduate degree from the University of California, San Diego. He received his juris doctorate from the University of San Diego School of Law. Among his accolades, he has been named on Martindale Hubbell’s Bar Register of Preeminent Lawyers, which is an exclusive directory of top-rated law firms voted by the legal community at large.
With respect to litigation, Mr. Lee has managed various lawsuits, including the successful defense of various multimillion-dollar lawsuits regarding trademark infringement, breach of contract, fraud, and related business matters. He also provides expert witness services and internal company investigations. His acquisition deals range from $1,000,000.00 to $500,000,000.00. His private equity clients have capital in excess of $1,000,000,000.00.
Mr. Lee sits on the board of various non-profit organizations and provides pro bono services to various community organizations. He is also a member of the prestigious Enright Inn of Court, the San Diego Bar Association, the American Bar Association, the Korean American Bar Association, and the International Federation of Real Estate.
J. TANYA SHOME
J. Tanya Shome is a partner at Lee Shome & Kennedy LLP. Ms. Shome leads the litigation services provided by LSK. She provides the following legal services: business litigation, partnership disputes, employment claim defense, intellectual property claims and defense, real estate matters, environmental law, and eminent domain for public governmental entities and private property owners.
Ms. Shome has over sixteen years of legal experience. She successfully tried multiple jury and bench trials that have garnered national media attention, such as a federal trademark lawsuit involving Los Angeles Unified School District’s $1billion “1:1 iPad” program. Ms. Shome has also obtained seven figure jury verdicts for a public water utility company, as well as a private property owner against the City of Escondido in a condemnation and environmental lawsuit.
Prior to joining LSK, Ms. Shome served as in-house counsel for a publicly traded medical billing company. She successfully defended the company’s business interests in various legal actions during her tenure there. She also practiced at top law firms in San Diego, which specialized in business and real estate legal services.
Ms. Shome graduated from the University of California, Irvine with dual degrees in Environmental Analysis & Design, and Psychology & Social Behavior. She received her juris doctorate from the New England School of Law. She served on the New England Journal on Criminal and Civil Confinement, and the school’s Environmental Law Forum Journal.
Ms. Shome is an active member of the San Diego Bar Association, and the Enright Inn of Court. She volunteers with the San Diego Volunteer Lawyer Program and various women’s interest groups. She also counsels small business owners regarding litigation-related matters through the firm’s membership services.
JOHN P. “JACK” KENNEDY
John P. “Jack” Kennedy is a partner at Lee Shome & Kennedy, LLP. Mr. Kennedy engages in transactional matters on behalf of his clientele. His practice primarily focuses on structuring and negotiating acquisitions, investments, and capital markets offerings on behalf of corporations, venture capital firms, and private equity. Mr. Kennedy helps emerging and mature companies navigate their most critical transactions in a number of dynamic sectors, including commercial real estate, biotechnology, clean energy solutions, emerging technologies, and digital media industries. He regularly represents and advises venture capital and private equity firms on strategic investments and acquisitions in companies in high-value sales and acquisitions of new technologies. Mr. Kennedy advises venture capital and private equity firms on strategic investments and acquisitions in multiple market sectors. He also handles equity and debt capital markets offerings on behalf of issuers.
Mr. Kennedy’s practice includes Debt offerings, including convertible debt offerings, equity offerings and private placements, mergers and acquisitions, recapitalizations, take-private transactions, spin-off transactions, advising and ensuring compliance with applicable securities regulations.
Mr. Kennedy is experienced in representing private investment funds and fund sponsors in a wide range of transactions. In particular, Mr. Kennedy is experienced in: forming private equity funds, hedge funds, venture capital funds and hybrid funds; developing equity ownership and management structures for fund sponsors, including equity compensation arrangements; advising private investment funds and fund sponsors on relevant securities law issues, including registration and compliance under applicable securities regulations; advising private investment funds in connection with preferred equity investments; advising fund sponsors in disputes with investors; and advising fund sponsors and key representatives in separation arrangements.
Mr. Kennedy attended law school at California Western School of Law, earning multiple achievements for academic success. Mr. Kennedy completed his legal education at University of Southern California’s Gould School of law, during which time his studies focused primarily on the fields of structuring business and corporate organizations, mergers and acquisitions, business finance, and securities regulations. Prior to founding LSK with David Lee and Tanya Shome, Mr. Kennedy worked at the Office of the Attorney General and multiple other private firms in the San Diego area.
Jesse Blanco is a senior attorney with Lee, Shome & Kennedy LLP. Mr. Blanco specializes in tax and immigration legal services, as specifically follows: tax litigation, audit representation, installment agreements, offers in compromise, collections, 1031 exchanges, capital gains counseling, investment-based immigration visas (E1, E2, and EB5), and employment-based visas (H1-B, EB-3, and TN).
Mr. Blanco represents a diverse spectrum of corporate clientele from Mexican energy companies to statewide restaurant chains. He reduced tax bills in excess of $1 million down to less than $1,000.00 in some instances. He also served the business interests of multiple international companies who required his services for employment-based visas.
Mr. Blanco received his undergraduate degree from the University of California, San Diego. He received his law degree from the University of San Diego, School of Law. He received a Masters in Law in Taxation from the same institution. Mr. Blanco is a Certified Fraud Examiner for the State of California. He has also spoken on various legal and tax matters for various media outlets, such as ESPN Radio and Televisa Channel 12.
Prior to starting his legal practice, Mr. Blanco worked in the taxation department of Ernst & Young, LLP. He is also a proud veteran of the United States Army. Mr. Blanco is the corporate treasurer for the San Diego La Raza Lawyers Association. He also serves as a member for the San Diego County Bar Association and the South Bay County Bar Association. During his spare time, Mr. Blanco provides numerous lectures on the subject of taxation for various outreach groups, such as the San Diego Housing Commission and the National Latina Business Women Association.
